CUSTOMER ACCOUNT AGREEMENT, TERMS & CONDITIONS

Effective Date: September 15, 2026

IMPORTANT NOTICE. PLEASE READ THIS ACCOUNT AGREEMENT CAREFULLY BEFORE ENROLLING IN OR USING THE GOLD SAVINGS PLAN™.

THIS AGREEMENT CONTAINS IMPORTANT TERMS GOVERNING YOUR PURCHASE, OWNERSHIP, STORAGE, LIQUIDATION, DELIVERY AND CONVERSION OF PRECIOUS METALS, AS WELL AS DISCLAIMERS, LIMITATIONS OF LIABILITY, AN ARBITRATION PROVISION, CLASS-ACTION WAIVER AND JURY-TRIAL WAIVER. BY CREATING AN ACCOUNT, ENROLLING IN THE GOLD SAVINGS PLAN™, PLACING AN ORDER, MAKING A PAYMENT, OR OTHERWISE USING THE GOLD SAVINGS PLAN™ WEBSITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THIS AGREEMENT. IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT ENROLL, PLACE AN ORDER OR USE THE SERVICES.

1. PARTIES AND DEFINITIONS

This Customer Account Agreement (“Agreement”) is entered into between C-Gold Technologies LLC, doing business as Gold Savings Plan™ (“Gold Savings Plan™,” “GSP,” “C-Gold,” “we,” “us,” or “our”) and the individual or entity establishing or using a Gold Savings Plan™ account (“Customer,” “you,” or “your”). Gold Savings Plan™ provides an online platform through which customers may purchase, save, accumulate, hold, liquidate and, subject to the terms of this Agreement, request delivery of physical precious metals. For purposes of this Agreement:

“Gold” means investment-grade physical gold offered through the Gold Savings Plan™, purchased and accounted for in increments of 1/100 of a troy ounce (0.01 oz).

“Silver” means investment-grade physical silver offered through the Gold Savings Plan™, purchased and accounted for in increments of 1/10 of a troy ounce (0.10 oz).

“Metals” means Gold and Silver.

“Bid” means the applicable price at which Gold Savings Plan™ or its designated liquidity provider will purchase or liquidate the applicable precious metal at the relevant time.

“Ask” means the applicable price at which the applicable precious metal is offered for purchase at the relevant time.

“Contribution” means funds received and successfully cleared for application toward a customer's Gold Savings Plan™ account.

“Account” means the customer's Gold Savings Plan™ account and the associated records of contributions, transactions and precious-metal holdings.

2. ABOUT GOLD SAVINGS PLAN™

Gold Savings Plan™ provides customers with a systematic method of acquiring physical precious metals through recurring or individual purchases. Gold Savings Plan™ is not a bank, deposit-taking institution, securities broker, investment adviser, tax adviser, financial adviser, mutual fund, or securities exchange. Precious-metal purchases are purchases of physical commodities. Gold Savings Plan™ does not guarantee that the value of any precious metal will increase. Past performance of gold, silver or any other commodity is not indicative of future results.

3. ACCOUNT REGISTRATION

Account registration is required to participate in the Gold Savings Plan™. You agree to provide accurate, complete and current information and to update your information whenever necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. Gold Savings Plan™ may suspend, restrict or terminate an account when reasonably necessary for fraud prevention, compliance, security, payment issues, legal requirements, violation of this Agreement, or other legitimate business reasons.

4. ELIGIBILITY

You must be at least eighteen (18) years old to establish an individual Gold Savings Plan™ account unless otherwise permitted by applicable law. By enrolling, you represent that:

You have legal capacity to enter into this Agreement;

The information you provide is accurate;

You are authorized to use the payment method associated with your account;

You are not prohibited by applicable law from purchasing precious metals; and

You will comply with all applicable laws and regulations.

Gold Savings Plan™ may request additional identification or documentation where reasonably necessary for compliance, fraud prevention, payment verification, sanctions screening, or other lawful purposes.

5. PRECIOUS-METAL PURCHASES

5.1 Gold Purchase Increments

Gold purchased through the Gold Savings Plan™ is accounted for in increments of 1/100 of a troy ounce (0.01 oz). The amount of Gold credited to an account is determined by the amount of the customer's purchase and the applicable purchase price at the time the transaction is executed.

5.2 Silver Purchase Increments

Silver purchased through the Gold Savings Plan™ is accounted for in increments of 1/10 of a troy ounce (0.10 oz). The amount of Silver credited to an account is determined by the amount of the customer's purchase and the applicable purchase price at the time the transaction is executed.

5.3 Pooled Precious Metals

All Gold and Silver purchased through the Gold Savings Plan™ is pooled physical precious metal unless otherwise expressly provided in a separate written agreement. Customer holdings are recorded in the customer's Gold Savings Plan™ account based upon the applicable metal, quantity and transaction price. The customer's account represents the customer's recorded beneficial interest in the applicable quantity of pooled physical precious metals maintained for Gold Savings Plan™ customers. Pooled holdings are not represented as individually segregated bars bearing the customer's name unless a separate written agreement expressly provides for allocated or segregated storage.

6. STORAGE OF PRECIOUS METALS

Unless otherwise agreed in a separate written agreement, physical Gold and Silver purchased through the Gold Savings Plan™ are stored with IDS of Texas or its applicable affiliated/depository facility in Texas. The depository maintains physical precious metals on behalf of the applicable account structure and provides insurance subject to the depository's applicable terms, conditions, limitations and insurance arrangements. Gold Savings Plan™ may change or designate another qualified depository where commercially, operationally, legally or otherwise appropriate. Any customer requesting a storage arrangement different from the standard pooled-storage arrangement must enter into a separate written agreement if such arrangement is available.

7. CONTRIBUTIONS AND PURCHASE FREQUENCY

Customers may establish recurring purchases according to the frequencies made available through the Gold Savings Plan™ platform. Available frequencies may include daily, weekly, biweekly, monthly or quarterly purchases. The amount of precious metal purchased may vary from transaction to transaction because precious-metal prices fluctuate. A recurring contribution amount does not guarantee a fixed quantity of Gold or Silver. The quantity purchased will be determined by the amount available for the transaction and the applicable purchase price at the time the transaction is executed.

7.1 Contribution Application; Residual Balances; No Cash Accumulation

Each Contribution received and successfully cleared is intended solely for the purchase and acquisition of Gold, Silver or other eligible precious metals through the Gold Savings Plan™ and shall be applied to the customer's next applicable purchase cycle in accordance with this Agreement. Because precious-metal prices fluctuate and Gold and Silver are purchased and accounted for in fractional increments, the amount of a Contribution may not correspond exactly to the applicable purchase price of the smallest available purchase increment or other applicable purchase unit. Any remaining amount of a Contribution that is insufficient to complete an additional eligible purchase at the time the applicable transaction is executed (a “Residual Contribution Balance”) shall automatically remain available solely for application toward the customer's subsequent eligible precious-metal purchase cycle. Residual Contribution Balances are not deposits, savings deposits, stored-value balances, investment balances, interest-bearing funds, or funds held for the purpose of earning a return. No interest, dividend, yield, appreciation, or other return shall accrue or be payable on any Contribution or Residual Contribution Balance. Gold Savings Plan™ shall not intentionally maintain a Residual Contribution Balance in the customer's Account in an amount equal to or greater than the amount necessary to purchase the applicable minimum eligible purchase unit when such amount is available for application to a scheduled purchase. Any amount sufficient to complete an eligible purchase shall be applied to such purchase in accordance with the applicable purchase cycle, subject to payment clearance, pricing, availability, fraud prevention, compliance requirements and the other terms of this Agreement. A Residual Contribution Balance is therefore an operational remainder arising solely from the execution of a customer's precious-metal purchase transaction and is not a separate cash-management, banking, savings or investment service. Upon liquidation or termination of the customer's Account, after completion of all applicable transactions, adjustments, fees, charges, taxes, payment reversals and other amounts properly due under this Agreement, any remaining Residual Contribution Balance shall be credited to the customer and, where applicable, returned to the customer using an eligible payment method or other method permitted by Gold Savings Plan™. Gold Savings Plan™ does not undertake to hold customer Contributions for the purpose of providing the customer with access to funds on demand. Contributions are accepted solely in connection with the purchase, ownership, storage, liquidation, delivery or conversion of precious metals under this Agreement.

8. PAYMENT TERMS

8.1 Individual Enrollments

For individual Gold Savings Plan™ enrollments, Gold Savings Plan™ accepts credit cards and debit cards as the designated payment methods. Payment processing may be performed through third-party payment processors. Gold Savings Plan™ may impose reasonable transaction, fraud-prevention, verification or payment-processing requirements where applicable.

8.2 Employer and Employee Enrollments

For employer-sponsored, employer-funded, employer-matched, employee-funded or other employer-related Gold Savings Plan™ enrollments, payments may be made by: ACH; Direct Deposit; or Bank Wire Transfer. Specific employer payment arrangements may be established through an employer agreement, participation agreement, addendum or other written arrangement.

8.3 Good Funds

A transaction is considered funded only when the applicable payment has been successfully authorized, received and/or cleared, as applicable. Gold Savings Plan™ reserves the right to delay execution, delivery, liquidation or other account activity until payment has been successfully cleared.

8.4 Payment Reversals and Chargebacks

Customers are responsible for all legitimate amounts owed in connection with their purchases. Unauthorized chargebacks, reversed payments, insufficient funds, fraudulent transactions or payment reversals may result in suspension or termination of an account and may result in the assessment of applicable market losses, processing costs and other amounts permitted by law.

9. PRICING AND SPREAD

Gold Savings Plan™ applies a 15% spread to precious-metal purchases. The spread (= Ask - Bid) represents the difference between the applicable underlying procurement/market cost (bid) and the retail price charged to the customer (ask) and is used to support operating expenses, technology, fulfillment, marketing, commissions, administration and other business expenses, as well as potential profit. The applicable purchase price presented to the customer at the time of a transaction is the price applicable to that transaction. Precious-metal prices fluctuate continuously or periodically based upon market conditions and other factors. Accordingly, two purchases made at different times may result in different quantities of Gold or Silver even when the dollar contribution is identical. The spread does not constitute a guarantee of profit, return or appreciation.

10. TRANSACTION EXECUTION

Once a purchase is authorized and accepted, the applicable amount of Gold or Silver will be credited to the customer's account based upon the applicable purchase price at the time the transaction is executed. The quantity credited to the account may be different from the quantity purchased in a previous transaction because precious-metal prices change.

Gold Savings Plan™ may refuse, delay or cancel a transaction when required by law, payment-processing requirements, fraud controls, sanctions requirements, market conditions, technical issues or other legitimate circumstances.

11. LIQUIDATION OF PRECIOUS METALS

Customers may request liquidation of all or part of their Gold or Silver holdings subject to the procedures established by Gold Savings Plan™. Unless otherwise expressly agreed in writing, metals are liquidated at the applicable Bid price in effect at the time the liquidation transaction is executed. The liquidation value credited to the customer's account or paid to the customer will therefore be based upon the applicable Bid price at the time of liquidation and not the price at which the metal was originally purchased. Because the purchase price includes the applicable spread and because Bid and Ask prices may differ, a customer may receive less upon liquidation than the amount originally contributed, even if the underlying spot price has not materially changed. Gold Savings Plan™ does not guarantee that a customer will recover the customer's original contribution.

12. DELIVERY AND CONVERSION

Customer holdings in the Gold Savings Plan™ are maintained in pooled form. A customer may request physical delivery of eligible holdings, subject to minimum requirements, availability, verification, payment of applicable charges and the procedures established by Gold Savings Plan™. Because customer holdings are maintained in fractional pooled increments, delivery is generally accomplished by converting the customer's applicable holdings into 1-gram physical gold bars or 1/10 oz silver rounds. For delivery conversion:

The applicable customer holdings will be liquidated or valued using the applicable market pricing in effect at the time the delivery transaction is processed; The applicable proceeds will be applied toward the purchase of available 1-gram gold bars if the account is a gold account or 1/10oz silver rounds if the account is a silver account. The 1-gram gold bars and 1/10oz silver will be purchased at the applicable Ask price in effect at the time of conversion; Any resulting difference in value, including applicable market-price differences, premiums, conversion costs, taxes and other charges, will be the responsibility of the customer; and The resulting physical bars or Rounds will be shipped to the customer after completion of the applicable transaction and verification procedures.

Important: Delivery is a conversion of pooled physical holdings into deliverable physical bars or rounds and is not a representation that the customer previously owned individually segregated 1-gram bars or 1/10oz silver rounds. Shipping, insurance, handling, conversion and other delivery-related charges do apply.

13. ONE-TIME PURCHASES; C-GOLD WORLD GOLD NOTES™ AND COLLECTIBLE NOVELTY PRODUCTS

13.1 One-Time Purchases

From time to time, C-Gold Technologies LLC ("C-Gold") may offer products for one-time purchase through the Gold Savings Plan™ Platform or other C-Gold-authorized platforms. Such products may include commemorative, collectible, novelty, limited-edition, or specialty products, including without limitation C-Gold World Gold Notes™ ("Gold Notes").

Unless expressly stated otherwise in the applicable product offering, Gold Notes and other products designated by C-Gold as collectible or novelty products are offered as collectible novelty items and are not offered as securities, investment products, financial instruments, bank deposits, currency, or guaranteed-return products.

13.2 Pre-Order Basis; Aggregate Minimum Order Requirement

All Gold Notes are offered exclusively on a pre-order basis.

C-Gold will proceed with the minting and production of Gold Notes only after C-Gold has received an aggregate minimum of 5,000 Gold Notes ordered through C-Gold's platforms.

The 5,000-unit requirement is an aggregate minimum applicable to all customer orders collectively and is not a minimum purchase requirement for any individual Customer. A Customer may therefore place an order for any quantity of Gold Notes made available by C-Gold, subject to applicable product limits and availability.

Customer acknowledges that placing an individual order does not, by itself, cause the 5,000-unit aggregate minimum to be satisfied and does not guarantee that minting or production will commence.

13.3 Minting and Fulfillment Timeline

Once C-Gold determines that the aggregate minimum of 5,000 Gold Notes has been ordered through C-Gold's platforms, C-Gold will proceed with the applicable minting and production process, subject to its determination to continue the offering.

Following achievement of the aggregate minimum, C-Gold anticipates requiring approximately twelve (12) weeks before beginning fulfillment of Gold Note orders.

The twelve (12) week period is an anticipated production and fulfillment commencement period and is not a guaranteed delivery date. Actual fulfillment timing may vary based upon minting, manufacturing, quality control, shipping, logistics, supply availability, production conditions, or other circumstances.

Fulfillment may occur on a rolling basis following completion of production.

13.4 Payment Requirement

All Gold Note orders must be paid in full by credit card at the time the order is placed.

An order will not be considered successfully placed or accepted until the applicable credit-card payment has been successfully authorized and processed.

C-Gold may establish additional payment, verification, fraud-prevention, or transaction requirements applicable to particular orders.

13.5 Customer Cancellation; Orders Are Final

Because Gold Notes are collectible products offered through a pre-order process and may be produced based upon aggregate customer demand, all Gold Note orders are final once placed and paid and may not be cancelled by the Customer, except where C-Gold expressly agrees otherwise in writing or where cancellation or refund is required by applicable law.

A Customer's change of mind, inability or unwillingness to wait for production or fulfillment, failure to anticipate the fulfillment period, or dissatisfaction with the anticipated timing of delivery does not, by itself, create a right to cancel the order or receive a refund.

13.6 C-Gold Right to Discontinue, Modify, or Cancel Offering

C-Gold reserves the right, in its sole discretion and to the extent permitted by applicable law, to discontinue, suspend, modify, postpone, or cancel any Gold Note offering at any time.

C-Gold may exercise this right before or after the aggregate 5,000-unit minimum has been reached and before or after minting or production has commenced.

Such decision may be based upon production, manufacturing, supply, commercial, operational, legal, regulatory, compliance, economic, technical, or other considerations.

13.7 C-Gold-Initiated Cancellation and 100% Refund

If C-Gold determines, in its sole discretion, that it will not be able to fulfill a Customer's paid Gold Note order, C-Gold will cancel the affected unfulfilled order and issue the Customer a 100% refund of the amount actually paid for that unfulfilled order.

The refund will generally be made to the original credit card or original payment method used for the transaction, subject to the requirements and processing procedures of the applicable payment provider.

Upon issuance of the applicable refund, C-Gold will have no further obligation to fulfill the cancelled order, except for obligations that cannot lawfully be excluded or limited.

13.8 No Guarantee of Minting or Fulfillment

The placement of a Gold Note pre-order does not constitute a guarantee that:

(a) the aggregate 5,000-unit minimum will be reached;

(b) minting or production will commence;

(c) a particular production quantity will be manufactured;

(d) fulfillment will commence within twelve (12) weeks;

(e) a particular delivery date will occur; or

(f) the Gold Note offering will remain available.

C-Gold will determine whether and when production and minting will proceed, subject to the terms of the applicable offering and applicable law.

13.9 Collectible and Novelty Disclosure

Gold Notes are offered as collectible novelty items.

The purchase of a Gold Note should not be interpreted as a representation by C-Gold that the Gold Note will appreciate in value, retain a particular value, have a particular resale value, or produce any financial return.

C-Gold makes no representation, warranty, or guarantee concerning the future collectible value, resale value, market value, appreciation, liquidity, scarcity, demand, or investment value of any Gold Note.

Any gold or other precious-metal content associated with a Gold Note, if applicable to the particular product, does not constitute a guarantee of the product's future value, resale price, liquidity, or investment performance.

13.10 No Investment or Financial Representation

Nothing contained in a Gold Note offering, product description, advertisement, illustration, presentation, calculator, promotional material, website, or other communication should be interpreted as a representation that purchasing a Gold Note will result in a profit, appreciation, financial return, or particular future value.

Gold Notes are not being offered as a substitute for a bank deposit, savings account, securities investment, investment account, or other financial product.

13.11 Customer Acknowledgment and Acceptance

By placing an order for a C-Gold World Gold Note™, Customer expressly acknowledges, understands, and agrees that:

the Gold Note is a collectible novelty item and is not being purchased as a guaranteed investment or guaranteed-return product;
the Gold Note is offered on a pre-order basis;
C-Gold must receive an aggregate minimum of 5,000 Gold Notes ordered through C-Gold's platforms before C-Gold proceeds with minting and production;
the 5,000-unit requirement is an aggregate minimum across all customers and orders and is not a minimum purchase requirement for the individual Customer;
following achievement of the aggregate minimum, C-Gold anticipates approximately twelve (12) weeks before beginning fulfillment;
the twelve (12) week period is an anticipated production and fulfillment commencement period and is not a guaranteed delivery date;
all Gold Note orders must be paid by credit card;
once placed and paid, the Customer's order is final and may not be cancelled by the Customer, except as expressly permitted by this Agreement, by C-Gold in writing, or by applicable law;
C-Gold reserves the right to discontinue, suspend, modify, postpone, or cancel the Gold Note offering;
if C-Gold determines that it will not fulfill the Customer's order, C-Gold will issue a 100% refund of the amount actually paid for the unfulfilled order;
C-Gold does not guarantee that the 5,000-unit aggregate minimum will be reached, that minting will occur, or that a particular fulfillment or delivery date will occur; and
the Customer has read, understood, and affirmatively accepts the pre-order, aggregate minimum, production, fulfillment, cancellation, refund, and collectible-product terms before submitting the order.

14. SHIPPING AND DELIVERY

Shipping charges are the responsibility of the customer unless expressly stated otherwise in a specific promotion or written agreement. Shipping charges may vary based upon:

shipment value; weight; destination; insurance requirements; carrier requirements; international shipping requirements; and other applicable factors. Gold Savings Plan™ may require an adult signature or other delivery verification for shipments. Customers are responsible for ensuring that the delivery address is accurate and secure. Gold Savings Plan™ is not responsible for delays caused by carriers, customs authorities, governmental agencies, weather, force majeure events or other circumstances outside its reasonable control.

International shipments may be subject to customs duties, import taxes, VAT, brokerage charges and other governmental charges, all of which are the customer's responsibility unless otherwise expressly agreed in writing.

15. SALES TAX AND TAX DISCLOSURES

Precious-metal taxation varies by jurisdiction and may change at any time. Sales tax, use tax, gross receipts tax or similar taxes may apply when a customer requests physical delivery of Gold or Silver, depending upon the customer's delivery destination and the applicable law in effect at that time. The tax treatment of precious metals may depend upon: the customer's state or jurisdiction; the delivery address; the type of precious metal; the transaction amount; whether the metal qualifies as investment bullion; whether the transaction meets an applicable statutory exemption or threshold; and changes in applicable law. Gold Savings Plan™ will apply and collect taxes when legally required to do so.

15.1 Selected 2026 U.S. Bullion Tax Rules

The following is provided for general informational purposes only and is not tax advice. State and local rules can change at any time, and applicable local rates may differ from the state rate.

As of the date of this Agreement, jurisdictions requiring particular attention include:

Jurisdiction	2026 treatment of qualifying bullion
Hawaii	Generally subject to Hawaii's General Excise Tax; approximately 4% at the state level, with applicable county surcharge considerations.
Maine	Generally taxable at 5.5%.
New Mexico	Generally subject to Gross Receipts Tax; applicable rate varies by location and may be substantially higher than the state component alone.
Vermont	Generally taxable at 6%.
Washington	Bullion became subject to retail sales tax beginning January 1, 2026; state rate is 6.5% plus applicable local tax.
District of Columbia	Generally taxable at 6%.

Washington's Department of Revenue confirms that sales of precious-metal bullion became taxable beginning January 1, 2026.

15.2 States With Threshold-Based Exemptions

Certain jurisdictions provide exemptions when a qualifying bullion transaction exceeds a specified amount.

Examples include:

California: qualifying bulk sales of gold and silver bullion generally qualify for exemption at $2,000 or more in a single transaction, subject to applicable statutory requirements.

Connecticut: qualifying bullion transactions may be exempt when the applicable transaction exceeds $1,000.

Massachusetts: qualifying bullion transactions may be exempt at or above $1,000.

New York: qualifying bullion transactions may be exempt at or above $1,000.

Maryland: qualifying precious-metal bullion or coin sales exceeding $1,000 are exempt under the law effective July 1, 2026.

Virginia: qualifying gold, silver or platinum bullion transactions exceeding the applicable statutory threshold may qualify for exemption. Virginia Tax describes qualifying bullion sales as exempt under its current sales-tax rules.

Other states may provide full or partial exemptions. The foregoing list is not intended to constitute a complete state-by-state tax determination. The applicable tax is determined by the law applicable to the transaction at the time of delivery or other taxable event. Tax rates, thresholds, exemptions and rules may change without notice. Customers should consult their own tax adviser regarding their individual circumstances.

16. TAX RESPONSIBILITY

The customer is solely responsible for all taxes, duties, assessments, levies, reporting obligations and governmental charges applicable to the customer's purchases, ownership, liquidation or delivery of precious metals, except for taxes Gold Savings Plan™ is legally required to collect and remit. Gold Savings Plan™ does not provide tax, legal or investment advice.

17. PROMOTIONS AND PROMOTIONAL CREDITS

From time to time, Gold Savings Plan™ may offer promotional programs, account credits, referral credits, bonuses or other incentives. Promotions are subject to the specific promotional terms applicable to the offer. Unless otherwise expressly stated: A valid promotional code must be entered or properly associated with the account at enrollment in order for the customer to qualify; Promotional credits have no cash value; Promotional credits are not transferable; Promotional credits may not be exchanged for cash; Promotional credits may not be combined with other promotional offers unless expressly permitted; A customer must satisfy all qualification requirements before a promotional credit is issued; Gold Savings Plan™ may verify account activity, payment history and eligibility before issuing any credit; Fraudulent, duplicate, self-referral, reversed or otherwise ineligible transactions do not qualify; Gold Savings Plan™ may correct, modify, suspend or terminate a promotion at any time where permitted by law; and VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

18. ACCOUNT PROMOTION

When expressly offered by Gold Savings Plan™, an eligible customer may receive a $25 promotional credit per qualifying account.

To qualify: The customer must enter the applicable promotional code; The customer must maintain an eligible Gold Savings Plan™ account; The customer must make qualifying contributions totaling at least $5,000; The qualifying contributions must be successfully received and cleared; and The account must otherwise remain in good standing. The $25 promotional credit will be credited to the eligible account after the account reaches the required $5,000 contribution threshold and Gold Savings Plan™ verifies eligibility. The promotion is limited to $25 per qualifying account, unless a particular promotional offer expressly provides otherwise.

18.1 REFERRAL PROMOTION

When expressly offered by Gold Savings Plan™, an eligible customer may receive a $25 referral credit for referring another qualifying customer. To qualify: The referring customer must use an approved referral method or code; The referred customer must establish a qualifying Gold Savings Plan™ account; The referred customer must satisfy the applicable promotional requirements;

The referred customer's qualifying contributions must reach at least $5,000; The contributions must be successfully received and cleared; and Both accounts must remain in good standing at the time the referral credit is issued. The referring customer will receive a $25 promotional credit per qualifying referred customer after the referred customer reaches the $5,000 contribution requirement and Gold Savings Plan™ verifies eligibility. Self-referrals, duplicate accounts, fraudulent accounts, fictitious accounts, circular transactions and other transactions designed primarily to obtain promotional credits are prohibited.

19. PROMOTION MODIFICATION OR TERMINATION

Gold Savings Plan™ reserves the right, subject to applicable law, to modify, suspend or cancel any promotion at any time and without prior notice. Promotions may be cancelled, discontinued or changed due to legal requirements, regulatory requirements, fraud, abuse, technical issues, business considerations or other circumstances. Unless otherwise required by law, promotional credits that have not yet satisfied all qualification requirements are not earned and may be discontinued. All promotional offers are subject to applicable law. VOID WHERE PROHIBITED.

20. CANCELLATION AND PAUSING OF RECURRING PURCHASES

A customer may request cancellation or suspension of future recurring purchases through the procedures made available by Gold Savings Plan™. Cancellation of future recurring purchases does not automatically liquidate existing precious-metal holdings.

Existing holdings remain subject to the liquidation, delivery and other terms of this Agreement. Once a particular precious-metal purchase has been executed, that transaction may not be reversed merely because the customer subsequently cancels future purchases. A completed transaction may instead be subject to the applicable liquidation or offset procedures.

21. MARKET RISK

The price of Gold and Silver fluctuates. Customers acknowledge that precious-metal prices may increase or decrease substantially and that there is no guarantee of appreciation. Customers may experience losses upon liquidation. The customer assumes all market risk associated with the purchase, ownership and liquidation of precious metals. Gold Savings Plan™ does not guarantee that a customer's account will maintain or increase in value.

21.1 Historical and Future Price Illustrations

Any historical chart, calculator, scenario, illustration, or other presentation of precious-metal prices or values provided by GSP is subject to the market risks described in this Agreement. Historical price movements do not establish future performance, and hypothetical future scenarios do not predict future precious-metal prices. Gold and silver prices can fluctuate substantially and may decline in value. A customer may receive less upon liquidation than the amount of the customer's contributions, depending upon the applicable purchase price, Bid price, market conditions, transaction costs, fees, charges, taxes, and other applicable factors.

22. NO INVESTMENT, LEGAL, TAX, ACCOUNTING OR FINANCIAL ADVICE

Nothing contained in the Gold Savings Plan™ website, account statements, promotional materials, communications or services constitutes investment, financial, legal, tax or accounting advice. Customers are solely responsible for determining whether precious-metal ownership is appropriate for their individual circumstances. Customers should consult qualified professional advisers before making decisions regarding their finances, taxes, investments or retirement accounts.

22.1 Historical Price Calculator; Hypothetical Results

Gold Savings Plan™ may provide on its website, applications, presentations, or other customer-facing materials an online calculator, historical chart, illustration, or similar tool that allows a user to model hypothetical precious-metal savings based upon historical gold or silver prices, a selected contribution amount, contribution frequency, starting date or year, and other assumptions or inputs.

Any historical result, historical account value, ounces accumulated, contribution amount, percentage difference, appreciation amount, or other result displayed by such calculator or tool is hypothetical and illustrative only and does not represent the actual performance, transactions, purchases, holdings, account value, liquidation proceeds, or investment results of any GSP customer. Historical calculations are mathematical illustrations based upon historical reference prices and selected assumptions. GSP did not necessarily operate, offer the same products, use the same pricing, or conduct transactions during every historical period represented by the calculator. Historical calculations may use monthly average spot gold or silver prices or other reference prices and therefore may differ materially from the actual retail purchase price applicable to a GSP transaction. Historical calculations do not necessarily reflect or include the GSP purchase spread, retail pricing, product premiums, Bid/Ask spreads, storage charges, taxes, shipping, insurance, conversion costs, liquidation costs, fees, charges, or other expenses applicable to actual GSP transactions. Accordingly, any historical amount shown as a "value," "gain," "difference," "appreciation," "return," or similar measurement is not a representation of an amount that a customer actually earned or would have received upon liquidation.

Past performance does not guarantee, predict, or establish future results. Historical increases or other historical price movements should not be interpreted as an indication that similar results will occur in the future.

22.2 Historical Calculator; Contribution and Purchase Assumptions

Historical calculator results may assume that a selected dollar contribution was used to acquire a quantity of precious metal based upon the applicable historical reference price for the modeled period. The calculated quantity of metal and resulting value are therefore dependent upon the assumptions, timing, reference prices, contribution amounts, purchase frequency, and other inputs used by the calculator. The calculator is not a reconstruction of an actual customer account and does not establish that any particular quantity of gold or silver could have been purchased by a GSP customer at the reference price used in the calculation. Actual GSP transactions are governed by the purchase price, transaction execution, applicable spread, product availability, applicable fees and charges, and other terms of this Agreement in effect at the time of the transaction.

22.3 Future Hypothetical Scenarios; Illustratuve Assumptions

GSP may provide an online calculator or other tool that allows users to model hypothetical future precious-metal savings and hypothetical future values based upon selected contribution amounts, contribution periods, assumed rates of annual price appreciation, and other user-selected assumptions. Any future scenario, future value, projected value, projected gain, estimated value, appreciation amount, percentage increase, or other future result displayed by such calculator or tool is hypothetical and illustrative only. Such results are not forecasts, predictions, promises, guarantees, targets, expected returns, representations of future performance, or statements that any particular rate of appreciation will occur. Any annual percentage rate made available through the calculator; including, without limitation, rates selected from predefined options or rates selected through a user-controlled range or slider, is a mathematical modeling assumption only. The availability of a particular rate within the calculator does not mean that GSP believes, expects, predicts, or represents that gold or silver will appreciate at that rate. For example, a calculator may permit a user to select different annual assumptions, including rates such as 8%, 20%, or 35%, or may permit a user to select an annual assumption within a broader range, such as 5% through 50%. The inclusion or availability of any such rate is solely for purposes of mathematical scenario modeling and shall not be construed as an opinion, forecast, recommendation, expected rate of return, or guarantee by GSP. GSP does not represent or guarantee that gold, silver, or any other precious metal will appreciate at any particular annual rate, that any assumed rate will occur, or that any historical rate of appreciation will continue.

22.4 Future Scenario Assumptions; Contribution Amounts and Periods

A future calculator may permit a user to select or enter a recurring contribution amount, including amounts within a range established by GSP from time to time, such as $25 through $10,000 per month, together with a selected number of years or other contribution period. The ability to select a particular contribution amount, contribution period, annual growth assumption, or other calculator input does not constitute a recommendation that the customer make contributions at that level or for that period. Future scenarios assume, for mathematical illustration purposes, that the selected contribution amount and frequency continue throughout the modeled period and that the selected annual growth assumption occurs as modeled. Actual customer contributions may be increased, decreased, interrupted, suspended, discontinued, or terminated, and actual precious-metal prices may differ materially from the assumptions used by the calculator. Actual results may therefore be substantially higher or lower than any amount displayed by the calculator.

22.5 Future Scenarios are Not Predictions or Expected Returns

A future scenario showing an increase in the hypothetical value of precious metals does not mean that such increase will occur or continue. A percentage displayed by the calculator represents only the mathematical result of applying the selected assumption to the inputs used in the scenario. It does not represent an expected rate of return, anticipated performance, target return, or probability of achieving a particular result. The longer the modeled period and the greater the difference between the assumed rate and actual future precious-metal price movements, the greater the potential difference between the hypothetical result and actual results.

Actual future precious-metal prices may increase, remain unchanged, or decline, including substantially or for extended periods.

22.6 Future Calculator Does Not Represente Actual Liquidation Value

Any future value displayed by a calculator is a hypothetical reference-price valuation and is not necessarily the amount a customer would receive upon liquidation of a GSP account. Actual liquidation proceeds are determined in accordance with this Agreement, including the applicable Bid price, the quantity of precious metals held, applicable fees and charges, taxes, market conditions, transaction timing, and other applicable terms. The calculator may not account for all factors that could affect actual liquidation proceeds, including changes in Bid/Ask pricing, purchase spreads, retail premiums, storage costs, taxes, shipping, insurance, conversion costs, liquidation costs, product availability, transaction costs, or changes to GSP pricing and terms.

22.7 Future Scenarios; No Guarantee of Value or Purchasing Power

GSP makes no representation or warranty regarding the future price of gold, silver, or any other precious metal, or regarding the future value, purchasing power, liquidity, or liquidation proceeds of any precious-metal holdings. No calculator, chart, presentation, website content, marketing material, illustration, account statement, or other GSP communication shall be interpreted as establishing or guaranteeing a minimum future account value, minimum future precious-metal price, minimum appreciation rate, or particular financial result.

22.8 Calculator Does Not Constitute Investment Advice

The historical and future calculators are provided solely as educational and mathematical illustration tools. Use of the calculator does not constitute investment advice, financial advice, tax advice, legal advice, a recommendation to purchase precious metals, a recommendation regarding the amount or frequency of contributions, or a recommendation that a customer adopt or rely upon any particular assumption. Each customer is responsible for determining whether participation in the Gold Savings Plan™ and the amount, frequency, and duration of any contribution is appropriate for that customer.

22.9 Calculator Inputs and Methodology May Change

GSP may modify, add, remove, or change calculator inputs, contribution ranges, historical periods, assumptions, annual growth-rate ranges, available scenarios, methodologies, reference prices, display formats, or other calculator functionality from time to time. Any such calculator modification does not amend or modify the customer's contractual rights or obligations under this Agreement and does not constitute a representation regarding future precious-metal prices or performance. The calculator's available assumptions and ranges are provided solely for illustrative modeling purposes and may be changed or discontinued at any time.

23. ORDERS AND PRICES

Precious-metal prices may change without notice. Prices displayed through the Gold Savings Plan™ platform are based upon applicable market conditions and pricing methodologies at the time of the transaction. Gold Savings Plan™ reserves the right to correct typographical, technical, pricing or other errors. If an order is affected by a material pricing or technical error, Gold Savings Plan™ may cancel or correct the transaction and notify the customer.

24. LIQUIDATION PROCEDURES

Liquidation requests must be submitted through the procedures designated by Gold Savings Plan™. Gold Savings Plan™ may require verification of the customer's identity, account ownership, payment history or other information before processing a liquidation. Liquidations are generally executed at the applicable Bid price in effect when the liquidation is executed. The actual amount received may vary based upon market conditions, applicable pricing, transaction timing and other factors. Gold Savings Plan™ does not guarantee execution at a specific future price.

25. RETURNS AND REFUNDS

Because precious-metal prices fluctuate and transactions are market-sensitive, purchases of precious metals are generally final once executed. Any return, refund, cancellation or adjustment permitted by Gold Savings Plan™ will be subject to applicable market pricing and may result in a gain or loss to the customer. Gold Savings Plan™ may deduct applicable market losses, shipping charges, processing costs and other permitted charges before issuing any refund or adjustment. Nothing in this section limits any non-waivable rights provided by applicable law.

26. FRAUD AND SECURITY

Gold Savings Plan™ reserves the right to delay, refuse, suspend or cancel transactions where fraud, unauthorized activity, payment irregularities, identity concerns, sanctions issues or other security concerns are suspected. Gold Savings Plan™ may request additional documentation or verification. Customers agree to cooperate with reasonable fraud-prevention and identity-verification procedures.

27. COMPLIANCE WITH LAW

Customers must comply with all applicable federal, state, local and international laws. Gold Savings Plan™ may restrict transactions involving jurisdictions, persons, entities or transactions that are prohibited by applicable law or sanctions. Gold Savings Plan™ may refuse transactions where required by law or where necessary to satisfy legal, regulatory or compliance obligations.

28. EXPORT AND IMPORT REQUIREMENTS

International shipments are subject to applicable export, import, customs, sanctions and other laws. Gold Savings Plan™ may refuse or restrict international shipments where required by law or where reasonable compliance concerns exist. Customers are responsible for applicable customs duties, import taxes, VAT, brokerage fees and similar charges.

29. DISCLAIMERS

THE GOLD SAVINGS PLAN™, WEBSITE, SERVICES AND INFORMATION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. GOLD SAVINGS PLAN™ DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR AVAILABLE AT ALL TIMES. GOLD SAVINGS PLAN™ DOES NOT WARRANT ANY PARTICULAR RETURN, PROFIT, APPRECIATION OR PERFORMANCE OF GOLD, SILVER OR ANY OTHER PRECIOUS METAL.

30. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLD SAVINGS PLAN™, ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SERVICE PROVIDERS AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE CUSTOMER'S USE OF THE SERVICES OR PURCHASE, OWNERSHIP, LIQUIDATION, STORAGE OR DELIVERY OF PRECIOUS METALS.

GOLD SAVINGS PLAN™ SHALL NOT BE RESPONSIBLE FOR LOSSES RESULTING FROM MARKET MOVEMENTS, PRICING CHANGES, THIRD-PARTY SERVICE INTERRUPTIONS, PAYMENT-PROCESSING DELAYS, CARRIER DELAYS, GOVERNMENT ACTIONS, CUSTOMS DELAYS, CYBER EVENTS OR OTHER EVENTS OUTSIDE ITS REASONABLE CONTROL, EXCEPT TO THE EXTENT LIABILITY CANNOT LAWFULLY BE LIMITED.

31. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless Gold Savings Plan™ and its members, officers, directors, employees, agents, contractors, affiliates, service providers and partners from claims, losses, liabilities, damages and reasonable expenses arising from: Your breach of this Agreement; Your violation of applicable law; Your unauthorized use of an account; Fraudulent or unauthorized activity associated with your account; Your violation of the rights of another party; or

Your misuse of the Website or services.

32. TERMINATION

Gold Savings Plan™ may suspend or terminate access to the services where permitted by law, including for fraud, abuse, payment issues, legal or regulatory requirements, security concerns or violation of this Agreement. A customer may terminate future participation in the Gold Savings Plan™ at any time through the applicable account procedures. Termination does not eliminate obligations relating to transactions previously completed or obligations that by their nature survive termination.

33. CHANGES TO THIS AGREEMENT

Gold Savings Plan™ reserves the right to modify this Agreement from time to time. The updated Agreement will become effective when posted or otherwise communicated, unless a different effective date is specified. Your continued use of the services following the effective date of an updated Agreement constitutes acceptance of the updated terms, to the extent permitted by law.

34. PRIVACY

Use of the Gold Savings Plan™ website and services is subject to the applicable Privacy Policy. By using the services, you acknowledge that information may be collected, processed, stored and used as described in the Privacy Policy and as permitted by applicable law.

35. INTELLECTUAL PROPERTY

The Gold Savings Plan™ name, trademarks, logos, website, technology, software, content and related intellectual property are owned by or licensed to C-Gold Technologies LLC or its applicable licensors. No ownership rights are transferred to customers through this Agreement. Customers may not copy, reproduce, reverse engineer, distribute, modify or commercially exploit Gold Savings Plan™ technology or content without prior written authorization.

36. FORCE MAJEURE

Gold Savings Plan™ shall not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, terrorism, governmental actions, labor disruptions, telecommunications failures, cyber events, transportation disruptions, financial-system disruptions, market emergencies or other force majeure events.

37. GOVERNING LAW

This Agreement shall be governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law or non-waivable law of another jurisdiction.

38. ARBITRATION; CLASS ACTION WAIVER; JURY TRIAL WAIVER

PLEASE READ THIS SECTION CAREFULLY. Except for disputes that cannot lawfully be subject to arbitration, you and Gold Savings Plan™ agree that disputes arising out of or relating to this Agreement, the Website, the Gold Savings Plan™, purchases, sales, liquidation, delivery or other services shall be resolved through individual binding arbitration rather than in court.

To the maximum extent permitted by law: You and Gold Savings Plan™ waive the right to participate in a class action; Claims may not be consolidated with claims of other customers; You and Gold Savings Plan™ waive trial by jury for disputes subject to arbitration; and

Arbitration shall be administered by JAMS under its applicable rules. Nothing in this section prevents a party from seeking relief that cannot lawfully be waived or seeking provisional or equitable relief where permitted by applicable law.

39. SEVERABILITY

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

40. ENTIRE AGREEMENT

This Agreement, together with any applicable policies, disclosures, promotional terms, employer agreements, addenda and other documents expressly incorporated herein, constitutes the entire agreement between the customer and Gold Savings Plan™ regarding the subject matter hereof.

41. NO WAIVER

Failure by Gold Savings Plan™ to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other right.

42. ASSIGNMENT

Customers may not assign their rights or obligations under this Agreement without the prior written consent of Gold Savings Plan™, except where otherwise required by applicable law. Gold Savings Plan™ may assign or transfer its rights and obligations as part of a merger, acquisition, restructuring, financing, sale of assets or other business transaction, subject to applicable law.

43. CUSTOMER ACKNOWLEDGMENT AND ACCEPTANCE

43.1 Customer Acknowledgment

BY ENROLLING IN THE GOLD SAVINGS PLAN™, CUSTOMER ACKNOWLEDGES AND AGREES THAT:

(a) Gold is purchased and accounted for in 1/100 oz increments, and Silver is purchased and accounted for in 1/10 oz increments;

(b) Gold and Silver holdings are pooled physical metals unless a separate written agreement provides otherwise;

(c) Metals are generally stored with IDS of Texas in Texas, or at another affiliated or approved depository facility as provided in this Agreement;

(d) Individual enrollments may use credit or debit card payments, and employer/employee enrollments may use ACH, direct deposit, wire transfer, or other payment methods permitted by GSP;

(e) The applicable purchase spread is 15% as described in this Agreement;

(f) Liquidations are generally executed at the applicable Bid price at the time of liquidation, and the amount received upon liquidation may be less than the amount originally contributed or paid;

(g) Physical delivery involves conversion of pooled holdings into available 1-gram gold bars or 1/10 oz silver rounds, with applicable conversion purchases made at the then-current Ask price, together with applicable shipping, delivery, insurance, taxes, and other charges;

(h) Precious-metal prices fluctuate and losses are possible;

(i) Promotional credits and promotional offers are subject to applicable qualification requirements and terms, and promotions may be modified, suspended, or cancelled where permitted by law;

(j) GSP does not provide investment, financial, legal, or tax advice;

(k) Historical calculator results and historical illustrations are hypothetical and do not represent actual GSP customer performance or actual historical GSP transactions;

(l) Future calculator scenarios are hypothetical mathematical illustrations only, and any annual growth rate, contribution amount, contribution period, or other assumption selected or displayed by the calculator is a modeling assumption and is not a forecast, prediction, expected return, target, promise, or guarantee;

(m) Past performance does not guarantee, predict, or establish future results, and GSP does not guarantee any future price, appreciation rate, account value, or liquidation amount; and

(n) Calculator values and illustrations are not necessarily the amount Customer would receive upon liquidation and may not reflect all actual GSP purchase pricing, spreads, premiums, Bid/Ask pricing, storage, taxes, shipping, insurance, conversion, liquidation costs, fees, charges, or other applicable expenses.

43.2 CUSTOMER REVIEW AND ACCEPTANCE

By checking the acceptance box and submitting an enrollment, Customer certifies that Customer has read, understood, and agrees to be bound by this Gold Savings Plan™ Customer Account Agreement, Terms & Conditions, including the provisions concerning: pooled precious metals; contribution application and residual balances; purchase pricing and the 15% spread; liquidation and Bid pricing; physical delivery and conversion; taxes, fees, shipping, and other applicable charges; promotional offers and promotional credits; market risk and potential loss; historical and future calculator illustrations; disclaimers and limitations of liability; arbitration; class-action waiver; and jury-trial waiver. Customer understands that precious-metal prices may rise or fall and that Customer may receive less upon liquidation than the amount Customer contributed or paid. Customer understands that physical delivery may result in applicable taxes, shipping charges, conversion costs, insurance costs, and other applicable charges. Customer understands that Gold and Silver holdings are pooled unless Customer has entered into a separate written agreement providing otherwise. Customer understands that promotional credits are subject to qualification requirements and the applicable terms of the promotion and may be modified, suspended, or terminated as provided in this Agreement. Customer understands that historical calculator results are hypothetical and that future calculator scenarios are hypothetical mathematical illustrations and do not constitute predictions, guarantees, or representations of future performance or returns.

By accepting this Agreement electronically, Customer agrees that such electronic acceptance constitutes Customer's agreement to this Agreement and shall have the same legal effect as a handwritten signature to the extent permitted by applicable law.
